Haynes Boone Represents Valesco in Investment in North American Kitchen Solutions, Inc.

A Haynes Boone team represented private equity firm Valesco Industries in its investment in North American Kitchen Solutions, Inc. (NAKS), a leading omni-channel, factory-direct one-stop-shop supplier of customized commercial kitchen hoods, fire suppression systems, fans, and complementary products.

Valesco (together with the existing management team and a co-investor) are supporting a majority buyout of NAKS’s previous ownership group. The transaction, which was announced on Nov. 10, is intended to capitalize on NAKS’s exceptional market position in the industry.

Valesco is a leading Dallas-based private equity fund that focuses on making control and non-control investments in select growth-oriented small- and lower- middle-market businesses engaged in manufacturing, distribution and business-to-business services. The firm was recently named the “Small Business Investment Company of the Year” by the U.S. Small Business Administration for its commitment to investing in the American workforce.

Associates Brent Beckert and Bryan Diebels served as lead mergers and acquisitions counsel to Valesco and were assisted by Associates AK Lutz and Morgan Smith.
