Biography

Tracey Parker is an associate in the Capital Markets and Securities Practice Group in Haynes Boone's Dallas office. Her practice encompasses a broad range of corporate and securities law matters, including advising publicly traded companies on SEC reporting and compliance, corporate governance, and general corporate matters. Tracey also has experience counseling management teams and boards of directors on public offerings, commercial transactions, and mergers and acquisitions. She has represented both domestic and international clients across various sectors, including life sciences, technology, energy, and financial services. Prior to joining Haynes Boone, Tracey was an associate at a prominent international law firm in Boston.

She provides comprehensive legal guidance to companies throughout the pre-IPO phase and during the execution of their initial public offerings or deSPAC transactions, drafting SEC disclosure documents, negotiating transaction documents for public and private offerings, and managing at-the-market sales offerings.

Additionally, Tracey plays a key role in firm leadership initiatives, including the development and use of legal AI programs, recruiting efforts, thought leadership, and diversity, equity, and inclusion mentoring programs.

Tracey's representative transactions include advising on significant capital markets activities such as follow-on public offerings, private placements of shares, and convertible senior notes offerings. She has also been involved in high-profile mergers and acquisitions, including the acquisition of technology companies by major corporations and strategic acquisitions in the biotechnology sector. Her work has consistently demonstrated her ability to navigate complex legal landscapes and deliver strategic solutions for her clients.

Tracey earned her undergraduate degree in Legal Studies from the University of West Florida, where she was recognized for her academic excellence. She went on to receive her Juris Doctor from Georgetown University Law Center, where she engaged in various extracurricular activities focused on privacy, cybersecurity, and international law. Additionally, she participated in a semester abroad at the Center for Transnational Legal Studies in London, further enriching her understanding of comparative and transnational law. Tracey is admitted to practice in Massachusetts and Texas.
