Biography

Zach Burnett is the Co-Head of M&A and Private Equity and a partner in the Mergers and Acquisitions Practice Group in the Dallas office of Haynes Boone. 

Zach focuses his practice on corporate law, private and public mergers and acquisitions, and other complex domestic and international transactions for clients in a variety of industries, including the building products, construction materials, manufacturing, insurance and professional services sectors. Zach assists clients in structuring and forming new business ventures and provides ongoing governance and operational advice to joint ventures, operating companies, investment funds, family offices, and other businesses. He also assists clients in the procurement and negotiation of coverage under representation and warranty insurance (RWI) policies in the context of M&A transactions. In addition to his M&A practice, Zach regularly advises investment funds, and investment advisors with regard to the formation, organization and operation of both hedge funds and private equity funds and their compliance with applicable federal and state laws.

Zach has experience in a variety of transactions including:

  • Negotiating mergers and acquisitions of both assets and stock of privately held companies, including portfolio companies of private equity funds
  • Structuring and forming business entities, including corporations, partnerships and limited liability companies
  • Assisting clients in general corporate matters
  • Representing clients in private placements of securities
  • Advising private equity and hedge funds in their compliance

  • Represented Nabors Industries Ltd. in its agreement to acquire Parker Wellbore in exchange for 4.8 million shares of Nabors common stock, valued at approximately $472 million, including debt.

  • Represented The HC Companies, a leading North American manufacturer of horticultural containers, in the sale of its business to PE Amber Holding Corporation, an affiliate of Platinum Equity.

  • Represented USA Environmental Holdings, Inc., a leader in specialized environmental remediation and industrial services provider, in a sale of its business to Entact, LLC.

  • Represented SRS Distribution, Inc. in various asset acquisition transactions.

  • Represented Blackmon Mooring (BMS CAT) in various asset acquisition transactions.

  • Represented Gauge Capital in various asset acquisition transactions.

  • Represented Trive Capital, in partnership with Core Minerals III, LLC, to acquire certain conventional assets of Chesapeake Energy Corporation in the Southern Appalachian region.

  • Represented The WhiteWave Foods Company in various acquisitions.
