Mark Esserman
Biography
Mark Esserman's legal practice centers in the formation, management, and operation of private investment funds (including private equity and hedge funds). Mark provides legal advice and guidance both to fund managers throughout the life of a fund and investors looking to invest in private funds. Mark’s experience includes:
- Structuring and Formation of Private Funds: Assisting fund managers in structuring the fund, including the choice of legal entity, the drafting of the fund's organizational documents, and the registration of the fund with the appropriate regulatory authorities.
- Regulatory Compliance: Ensuring that the fund and its managers comply with all relevant laws and regulations, including federal and state securities laws, tax laws, and investment advisor regulations.
- Fundraising: Assisting fund managers in the fundraising process, including the preparation of offering documents and the negotiation of subscription agreements with investors.
- Investment Activities: Assisting fund managers in the review and negotiation of investment-related documents, including counseling clients on corporate governance and related matters.
- Investor Representation: Representing a sovereign wealth fund and institutional investors on worldwide investments in energy, private equity, infrastructure, hedge, debt, and credit funds and co-investments.
Mark received his JD from Duke University School of Law and his undergraduate degree from Columbia University in the City of New York, where he graduated summa cum laude.
