Represented Construction Partners, Inc. in its $950 million acquisition of Asphalt Inc., LLC, d/b/a Lone Star Paving, a prominent Austin, Texas-based asphalt manufacturing and paving company.
Represented Blucora, Inc. in the $720 million sale of its tax software business, TaxAct, to an affiliate of Cinven Ltd., a UK-based private equity fund.
Represented Nabors Industries, a global leader in the oil and gas drilling industry, providing advanced drilling solutions and rig services in key markets around the world, in its $472M acquisition of Parker Wellbore.
Represented Intelligent Protection Management Corp. f/k/a Paltalk, Inc. (IPM) in its acquisition of Newtek Technology Solutions, Inc., a subsidiary of NewtekOne, Inc. (Nasdaq: NEWT), through a two-step merger process for consideration of $4 million in cash and 4 million shares.
Represented Ryan, LLC a leading global tax services and software provider, in its $60 million strategic acquisition of Morrison & Head, LLC, a property tax consulting firm serving clients across Texas with offices in Austin and Houston.
Represented Dallas IVF, a fertility practice in the Dallas-Fort Worth area, in the $76.2 million sale of all of its equity interests to Ivy Fertility and its affiliates, a San Diego-based provider of advanced reproductive technology and in-vitro fertilization.
Represented Sequel Holdings, L.P. in the $43 million sale of all of its equity interests in, and certain assets of, Star Seed Investment, Inc. and its wholly owned subsidiary to NativeSeed Group and its affiliates.
