Biography
Reem Abdelrazik is an associate in the Energy, Power and Natural Resources Practice Group in the Houston office of Haynes Boone. She maintains a broad transactional practice that includes energy finance matters, corporate mergers and acquisitions, commodities trading, as well as the acquisition and disposition of oil and gas properties. Reem has experience representing financial institutions and a variety of companies in a wide range of complex transactions including reserved based financing for lenders, borrowers and equity sponsors, and as well as both corporate and private equity buyers and sellers in the purchase and sale of equity and assets.

- Represented NextGen Healthcare, Inc. (Nasdaq: NXGN), a leading provider of innovative cloud-based healthcare technology solutions, in its acquisition of TSI Healthcare, a privately held value-added reseller located in Chapel Hill, NC.
- Represented Quanta Services, Inc., a public infrastructure solutions company, in its acquisition of a private contractor specializing in drilled shaft foundations for electric power and telecommunications projects.
- Represented the administrative agent and lead arranger in connection with an offshore focused exploration and production company’s $1 Billion reserve-based credit facility.
- Represented Tri Global Energy (TGE), a leading US renewable project developer, in its sale to Enbridge Inc. for $270 million. TGE is one of the largest onshore wind developers in the US, with a development portfolio of wind and solar projects representing more than 7 GW of renewable generation capacity.
- Represented administrative agent and lead arranger in a DJ Basin operator’s reserve-based credit facility, with an initial borrowing base of $550,000,000.
- Represented a private exploration and production company in the sale of producing properties and undeveloped acreage located in the Eagle Ford Shale for aggregate consideration in excess of $200 Million.
- Assisted in representing a large investment fund in a $300 million “DrillCo” drilling partnership, to jointly drill and develop wells and associated assets in the Permian Basin.
- Represented Capitol Services, a leading legal and corporate compliance services provider, in the sale of substantially all of its equity.
- Represented Valesco Industries in the sale of its interests in Central Texas Ingredients I, L.L.C to Adams Flavors Holdings.
