Haynes Boone Launches Texas Corporate Governance Group to Guide Companies Through Relocation and Reincorporation

March 03, 2025

With Texas surging as a leading destination for corporate relocations and reincorporations, Haynes Boone has launched a Texas Corporate Governance Practice Group to help businesses navigate the legal, regulatory and operational challenges of moving to or incorporating in the state.

The Lone Star State is already known for its business-friendly legal framework, tax advantages and expanding financial infrastructure. Now, with the upcoming launch of the Texas Stock Exchange, for which Haynes Boone is serving as counsel, and the NYSE’s plans to reincorporate a stock exchange in the state, Texas is more attractive than ever for companies seeking a strategic corporate base.

Haynes Boone recognizes the complex legal and operational decisions accompanying corporate relocations and reincorporations. The Texas Corporate Governance Group leans on the firm’s more than 50-year history in the state, comprehensive knowledge of the new Texas Business Court system and international reach to offer tailored counsel navigating key issues including securities compliance, corporate governance, executive compensation, proxy filings, shareholder approvals and tax implications. The group also assists with real estate transactions, state and local incentives and other legal considerations critical to a successful move.

The Haynes Boone Texas Corporate Governance Practice Group includes experienced attorneys from the firm’s corporate, securities, M&A, real estate, tax and other practices, including:

  • Brad Foster: A seasoned business litigator with a proven track record advising clients on corporate governance issues and defending corporations, boards and senior executives in complex business litigation matters in state and federal courts nationwide, including the Delaware Court of Chancery.
  • Matt Fry: A capital markets and securities practice co-chair who advises issuers, investors and underwriters on securities offerings, SEC reporting compliance, business transactions and corporate governance, recognized by D Magazine for his counsel.
  • Greg Samuel: A corporate securities veteran with more than 35 years of experience advising public and private companies on securities, public filings and corporate governance and is a Life Fellow of the Texas Bar Foundation, an honor that recognizes his outstanding contributions to the legal profession and commitment to the community.
