Haynes Boone represented local nonprofit CitySquare in the sale of its headquarters and food pantry operations in South Dallas to The Stewpot, a community program dedicated to serving individuals and families experiencing homelessness. The Stewpot will relocate its programs and services to the 53,000-square-foot Opportunity Center later this month.
CitySquare, a foundation of the Dallas nonprofit community, sought a buyer that would honor the legacy of the Opportunity Center by ensuring the space continued to serve the community. Following a rigorous selection process, The Stewpot, a community ministry of First Presbyterian Church of Dallas, was chosen to acquire the facility.
Since its founding, CitySquare has been a cornerstone for critical services in Dallas, including a food pantry and workforce development programs. With this acquisition, the site will remain a vital community resource as The Stewpot, which currently serves 1,000 meals daily and delivers over 600,000 pounds of food annually for 2,100 households, expands its services to meet the community’s growing needs.
The Haynes Boone deal team was led by Mergers and Acquisitions Partners Greg Samuel and Brent Beckert and Real Estate Partner Bill Wilshusen.
“We are honored to represent CitySquare in this meaningful transaction for the organization and the entire City of Dallas,” said Samuel, who also helped incorporate CitySquare in 1990. “This sale is not only a continuation of CitySquare’s legacy but also a testament to the power of nonprofit collaboration in addressing critical community needs.”
Samuel, Beckert and Wilshusen were assisted by a cross-disciplinary team at Haynes Boone that included:
- Environmental Partner Mary Mendoza
- Commercial Contracts Counsel Chelsea Leitch
- Corporate/M&A Associates Eli Brook and Rachael Williams
- Employee Benefits Counsel Tiffany Walker and Associate Isabella Blanes
- Finance Partner Sakina Foster
- Labor and Employment Partner Karen Denney

This transaction is the latest in a string of transactions for Haynes Boone in the nonprofit sector in recent years. Haynes Boone also represented South Valley Services, a Utah-based nonprofit, in its acquisition of a domestic violence shelter, and Operation Kindness, an animal welfare organization, in its acquisition of Texas Unites for Animals.
The deal has received widespread media coverage throughout the Dallas market, including features in D Magazine and The Dallas Morning News.
